此次發(fā)行的可轉(zhuǎn)債以每年5.0%的利率計(jì)息，可轉(zhuǎn)債持有人可選擇將其轉(zhuǎn)換為公司的美國(guó)存托股份（“ADSs”），每一股美國(guó)存托股份代表半股公司普通股。持有人可在12個(gè)月鎖定期后選擇轉(zhuǎn)股，如未發(fā)生需要調(diào)整價(jià)格的情形，轉(zhuǎn)換價(jià)格為以下兩者中的較低價(jià)格：每股4.30美元的固定價(jià)格，或?yàn)橐欢ㄆ陂g美國(guó)存托股份成交量加權(quán)平均價(jià)（VWAP）基礎(chǔ)上溢價(jià)10%。公司也可選擇在支付適當(dāng)回購(gòu)價(jià)后回購(gòu)該可轉(zhuǎn)債。
